Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Nerdy Nuggets LLC ("we", "us", or "our") governing your use of RizzUp at rizzup.io and related services (the "Service"). Please read them carefully. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Who can use RizzUp

You must be at least 18 years old to use the Service. By using the Service, you represent that you are 18 or older and that the information you provide is accurate.

2. What RizzUp is

RizzUp is a lighthearted tool for creating and sending a friendly invitation — an "ask" — to another person, and for receiving their response. RizzUp is for kind, consensual, good-faith use only. It is not a background-check, identity-verification, or safety service, and it does not guarantee any particular outcome.

3. Your account

You are responsible for the activity on your account and for keeping your sign-in method secure. Notify us promptly at hello@rizzup.io if you believe your account has been compromised. You are responsible for the content you create and share through the Service.

4. Acceptable use

You agree not to use RizzUp to:

  • harass, threaten, stalk, coerce, pressure, or intimidate any person;
  • contact anyone who has asked you not to, or send unwanted or repeated messages;
  • impersonate another person or misrepresent your identity;
  • post or send content that is unlawful, hateful, sexually explicit, defamatory, or that infringes anyone's rights;
  • collect or misuse other people's personal information;
  • spam, distribute malware, or attempt to disrupt, probe, or gain unauthorized access to the Service;
  • use the Service in violation of any applicable law.

We may suspend or terminate accounts that violate these rules. Be kind — a "no" or "maybe later" is always an acceptable answer, and RizzUp is meant to make asking someone out lower-stress, never a way to pressure anyone.

5. Your content

You keep ownership of the content you create. You grant us a limited, non-exclusive license to host, store, display, and transmit that content only as needed to operate the Service (for example, to show your ask to the recipient you send it to). You are solely responsible for your content and confirm you have the right to share it.

6. Payments, subscriptions, and credits

  • Paid plans, invite credits, and add-ons are billed through Stripe or PayPal. Prices are shown at checkout.
  • Subscriptions renew automatically for the interval you select until you cancel. You can cancel at any time from your account; cancellation stops future renewals and takes effect at the end of the current billing period.
  • Except where required by law, payments and credits are non-refundable, and credits and add-ons are non-transferable and have no cash value.
  • We may change prices or plans going forward; changes will not affect the period you have already paid for.

7. Third-party services

The Service relies on third parties, including Stripe and PayPal (payments), Google (sign-in), Supabase (database), and Cloudflare (hosting). Your use of those features may also be subject to their terms and privacy policies. We are not responsible for third-party services.

8. Intellectual property

The Service, including its design, software, and the RizzUp name and logo, is owned by us and protected by intellectual-property laws. We grant you a limited, personal, non-transferable, revocable license to use the Service in accordance with these Terms. You may not copy, resell, or reverse-engineer the Service.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY ASK WILL LEAD TO ANY PARTICULAR RESPONSE OR OUTCOME. YOU USE THE SERVICE, AND INTERACT WITH OTHER PEOPLE, AT YOUR OWN RISK.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NERDY NUGGETS LLC AND ITS OWNERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR EMOTIONAL DISTRESS, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, ANY INTERACTION WITH ANOTHER USER OR RECIPIENT, OR ANY CONTENT ON THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

11. Indemnification

You agree to defend, indemnify, and hold harmless Nerdy Nuggets LLC from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your content, your use of the Service, or your violation of these Terms or of any law or the rights of another person.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive termination — including content ownership, disclaimers, limitation of liability, and indemnification — will continue to apply.

13. Governing law

These Terms are governed by the laws of the State of Utah, United States, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Utah will have exclusive jurisdiction over any dispute that is not subject to informal resolution, except where prohibited by applicable law.

14. Changes to these Terms

We may update these Terms from time to time. We will revise the "Last updated" date above and, for material changes, provide additional notice where appropriate. Your continued use of the Service after an update means you accept the revised Terms.
